Pledge4Play — Terms of Service

1. Introduction and Acceptance

Welcome to Pledge4Play. These Terms of Service ("Terms") govern your access to and use of the Pledge4Play website at pledge4play.com, the Pledge4Play mobile applications for iOS and Android, and any related services (collectively, the "Platform"). The Platform is operated by Pledge4Play ("Pledge4Play," "we," "us," or "our"), currently a sole proprietorship organized in the United States and intended to be incorporated prior to public launch. We will update these Terms with the final entity name and form upon incorporation.

By creating an account, joining a fundraiser, making a donation, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms reference and incorporate the Pledge4Play Privacy Policy and, for organizations running fundraisers, the Platform Fundraising Agreement, which is presented and signed within the Platform.


2. Account Eligibility

2.1 Minimum age and capacity

You must be at least 18 years old to:

Users under 18 ("Minors") may use the Platform under the conditions described in Section 2.2 below and consistent with the role rules described in Pledge4Play's product documentation.

Minors may not create organizations on the Platform. Parents or guardians who approve a Minor's individual fundraiser are the legal recipients of any funds raised from that fundraiser, are responsible for verifying their identity through Stripe Connect, and bear tax responsibility for those funds.

2.3 One person, one account

Each individual is permitted one account. You agree to provide accurate information during sign-up and to keep your account information current. You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or create an account using another person's phone number or email address without authorization.

2.4 Account security

You are responsible for safeguarding access to your account, including the phone number used for SMS authentication on mobile and the email address used for magic link authentication on web. You agree to notify us promptly at legal@pledge4play.com if you believe your account has been accessed without your authorization.


3. Account Roles and Responsibilities

The Platform supports several user roles, including Owner, Org Admin, Fundraiser Admin, Parent or Guardian, Participant, and Donor. A single user may hold different roles in different organizations or fundraisers. Specific permissions and responsibilities for each role are described in the Platform's product documentation and in-app guidance.

By acting in any role, you accept the responsibilities of that role, including, where applicable, the responsibility to use funds raised in the manner described in your fundraiser, to handle access codes (such as join codes and admin codes) reasonably, and to act in the best interests of any minors connected to your account.


4. Acceptable Use

4.1 Fundraiser integrity

You agree that any fundraiser you create or administer:

You acknowledge that misrepresenting the purpose of a fundraiser, redirecting funds in a manner inconsistent with donor expectations, or making materially false statements to donors may violate state and federal law in addition to these Terms.

If you are a donor, you agree to provide accurate payment and contact information and not to initiate fraudulent chargebacks. Repeated chargebacks initiated in bad faith may result in account suspension.


5. Platform Fundraising Agreement and Organizations

5.1 Agreement required for organizations

Organizations running fundraisers on the Platform must sign the Platform Fundraising Agreement in-app. The Agreement is presented as a checkbox plus typed name confirmation, and is recorded with a timestamp in our systems. The Agreement contains additional commitments specific to organizational fundraising, including representations regarding the use of donor funds.

5.2 Tax-deductible donations

Tax-deductible donation language is shown on donation pages and donation receipts only when all three of the following conditions are satisfied for the receiving organization:

  1. The organization's nonprofit status has been marked verified by Pledge4Play following review of its EIN and IRS determination letter or equivalent documentation.
  2. The Platform Fundraising Agreement has been signed by an authorized representative of the organization and recorded in our systems with a timestamp.
  3. Tax-deductible donations have been explicitly enabled for the organization in our systems.

If any of these conditions is not satisfied, donations may not be represented as tax-deductible. Organizations that hold themselves out as tax-deductible recipients before completing this process do so in violation of these Terms.

5.3 Tax compliance is the organization's responsibility

Pledge4Play does not provide tax, legal, or accounting advice. Organizations are responsible for their own state solicitation registrations, charitable trust filings, federal and state tax filings, donor receipt obligations, and any other tax or regulatory compliance applicable to their fundraising activities. We strongly recommend that organizations consult qualified tax counsel before launching their first fundraiser.


6. Donations and Refunds

6.1 Donations are final by default

All donations made through the Platform are voluntary contributions. Donations are considered final at the time the payment is confirmed by Stripe, except as set forth below.

6.2 Refunds

Refunds are issued at the discretion of the receiving organization or, in the case of an individual fundraiser, the payout account holder. Pledge4Play does not unilaterally issue refunds except in cases of confirmed fraud, platform error, or where required by law.

When a donation is fully refunded:

Partial refunds may be processed where supported by Stripe and are subject to similar treatment.

6.3 Disputed transactions

Donors who believe a transaction is unauthorized or in error should contact the receiving organization or fundraiser first. If the dispute cannot be resolved, donors may contact us at legal@pledge4play.com or initiate a dispute through their card issuer or bank in accordance with applicable law and the network rules.


7. Payouts and Funds Flow

7.1 Pledge4Play does not hold donor funds

Pledge4Play does not take custody of donor funds. All donations are processed through Stripe and disbursed to connected Stripe accounts in accordance with Stripe's payout schedule and terms.

7.2 Org fundraisers

For fundraisers tied to an organization, donations net of platform fees and Stripe processing fees are paid out to the organization's connected Stripe account. The organization is responsible for managing its Stripe account, completing KYC, providing accurate banking information, and complying with Stripe's terms.

7.3 Individual fundraisers — adult creator

For individual fundraisers created by adults, donations net of fees are paid out to the creator's connected Stripe account. The creator is the legal recipient of funds, completes KYC personally through Stripe Connect, and bears tax responsibility for funds received.

7.4 Individual fundraisers — minor creator

For individual fundraisers created by minors, the parent or guardian who approves the fundraiser is the payout account holder. The parent or guardian completes KYC through Stripe Connect, is the legal recipient of funds, and bears tax responsibility for funds received. Funds are not paid out to the minor. Parents and guardians acting in this role agree to manage funds in the best interests of the minor and consistent with the represented purpose of the fundraiser.

7.5 KYC and identity verification

All payout account holders are subject to Stripe's identity verification requirements. Until KYC is complete, the related fundraiser cannot transition to active status and cannot accept donations. Pledge4Play has no ability to bypass or expedite Stripe's KYC process.

7.6 Payout timing

Payout timing is governed by Stripe and may vary based on account history, risk review, and Stripe's standard schedule. Pledge4Play does not guarantee any particular payout timing.


8. Platform Fees

8.1 Org fundraiser fee schedule

Pledge4Play charges a tiered platform fee on donations to organizational fundraisers, based on the cumulative amount raised within that fundraiser:

8.2 Individual fundraiser fee schedule

For individual fundraisers, the tiered platform fee schedule is:

8.3 Loyalty discount

Organizations that have raised cumulatively across all of their prior fundraisers on the Platform receive a loyalty discount on the platform fee for new fundraisers, applied as a reduction in the percentage at every tier of the schedule above:

The applicable loyalty discount is determined at the time a fundraiser is approved by Pledge4Play and locks for the lifetime of that fundraiser.

8.4 Disclosure and lock-in

The fee schedule applicable to a given fundraiser is disclosed in-app at the time the fundraiser is approved by Pledge4Play and is locked for the lifetime of that fundraiser. Future fee schedule changes do not retroactively apply to fundraisers already approved.

8.5 Stripe processing fees

Stripe processing fees are charged separately by Stripe and are not part of the Pledge4Play platform fee. They are deducted by Stripe from each donation in accordance with Stripe's published rates and pass through to the donor or recipient as Stripe's terms provide.


9. SMS Outreach

This section is important — please read it carefully.

9.1 Pledge4Play does not send SMS messages

The mobile app's outreach features rely on the device's native SMS capability. When you send outreach messages through the app, the messages are sent from your own phone number using your device's built-in messaging system. Pledge4Play does not operate an SMS gateway, does not contract with a messaging carrier, and does not transmit messages on your behalf.

9.2 What this means in practice

9.3 Your responsibility for compliance

Because outreach messages are sent from your device and your phone number, you are solely responsible for complying with all applicable laws governing those communications, including the TCPA, the CAN-SPAM Act where applicable, and analogous state laws. You should send outreach messages only to people who have a preexisting personal relationship with you and who would reasonably expect to hear from you.

9.4 Contact data

The mobile app accesses your device contacts only with your permission and only for the purpose of letting you select recipients. Contact information is not uploaded to Pledge4Play servers. See the Privacy Policy for additional detail.


10. Corporate Matching

10.1 Lump-sum matches

Corporate match contributions on the Platform are lump-sum commitments made by sponsoring companies, not real-time per-donation match calculations. A sponsoring company commits a fixed amount or maximum amount in advance, pays Pledge4Play through Stripe via credit card or ACH, and the funds become available for the matched fundraiser upon platform admin approval.

10.2 Approval required

All corporate match contributions are subject to review and approval by Pledge4Play's platform admin team. Pledge4Play may decline matches at its discretion, including for reasons related to brand fit, regulatory considerations, or fundraiser eligibility.

10.3 Display

Once a match is approved and payment is confirmed, the sponsoring company's name and logo are displayed on the matched fundraiser's public donation page and within the Platform.

10.4 Excess match funds

If a sponsoring company's committed match amount exceeds the qualifying donations raised by the fundraiser (for example, where a maximum-amount commitment is not fully matched, or a fixed-amount match exceeds total fundraiser donations), the unmatched excess will be refunded to the sponsoring company, unless the sponsoring company and the receiving organization agree in writing to a different treatment (such as applying the excess as a direct contribution or carrying it forward to a future fundraiser). Pledge4Play will process any such refund net of non-refundable payment processing fees in accordance with Stripe's terms.


11. Content Ownership and License

11.1 Your content

You retain ownership of all content you upload to the Platform, including organization names and logos, fundraiser names and descriptions, photos, and the public campaign profile fields. We do not claim ownership of your content.

11.2 License to Pledge4Play

By uploading content to the Platform, you grant Pledge4Play a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and distribute that content for the purpose of operating and promoting the Platform. This license includes display on the public campaigns page, in donation receipts, and in promotional materials related to the Platform such as marketing pages, social media posts about Platform launches, or case studies referencing public campaigns.

11.3 Your representations

By uploading content, you represent and warrant that you have the rights necessary to grant the license above and that the content does not infringe the intellectual property rights or other rights of any third party.

11.4 Pledge4Play's content

The Platform's design, source code, brand, and all other content created by Pledge4Play are owned by Pledge4Play and protected by intellectual property laws. You may not use Pledge4Play's brand, logo, or name except as expressly permitted by these Terms or with our written permission.

11.5 Copyright complaints

If you believe content on the Platform infringes your copyright, please contact legal@pledge4play.com with a notice that includes the information required by Section 512(c) of the Digital Millennium Copyright Act.


12. Suspension and Termination

12.1 Suspension or termination by Pledge4Play

We may suspend or terminate your access to the Platform, including pausing or removing fundraisers, for any of the following reasons:

Where reasonable under the circumstances, we will provide notice and an opportunity to cure. In cases involving suspected fraud, security incidents, or risk to other users or donors, we may act without prior notice.

12.2 Termination by you

You may close your account at any time by contacting us at legal@pledge4play.com or by using any in-app account closure tool we make available. Closing your account does not automatically refund donations already made or paid out, and any active fundraisers may need to be wound down separately.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

PLEDGE4PLAY DOES NOT GUARANTEE THAT ANY FUNDRAISER WILL REACH ITS GOAL, RAISE ANY PARTICULAR AMOUNT, OR ATTRACT ANY PARTICULAR NUMBER OF DONORS. PLEDGE4PLAY IS NOT RESPONSIBLE FOR THE ACTIONS OF ORGANIZATIONS, FUNDRAISER ADMINS, PARTICIPANTS, PARENTS OR GUARDIANS, DONORS, OR OTHER USERS, INCLUDING THE USE THEY MAKE OF FUNDS RAISED.

PLEDGE4PLAY IS NOT RESPONSIBLE FOR USER-GENERATED CONTENT, INCLUDING FUNDRAISER DESCRIPTIONS, PHOTOS, AND PUBLIC CAMPAIGN PROFILE TEXT, AND DOES NOT ENDORSE ANY ORGANIZATION OR FUNDRAISER LISTED ON THE PLATFORM.

PLEDGE4PLAY DOES NOT PROVIDE TAX, LEGAL, ACCOUNTING, OR FINANCIAL ADVICE. INFORMATION PRESENTED IN THE PLATFORM REGARDING NONPROFIT STATUS, TAX-DEDUCTIBLE DONATIONS, AND PAYOUTS IS PROVIDED FOR CONVENIENCE AND DOES NOT CONSTITUTE ADVICE.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLEDGE4PLAY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF PLEDGE4PLAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PLEDGE4PLAY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE PLATFORM FEES PAID BY YOU TO PLEDGE4PLAY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU IN FULL.


15. Indemnification

You agree to indemnify, defend, and hold harmless Pledge4Play and its officers, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, judgments, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Pledge4Play reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate in asserting any available defenses.


16. Governing Law and Disputes

16.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Binding arbitration

Except as set forth in Section 16.4, you and Pledge4Play agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its then-current applicable rules. The arbitration will be conducted in English. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class action waiver

YOU AND PLEDGE4PLAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND PLEDGE4PLAY AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

16.4 Carve-outs

Notwithstanding the agreement to arbitrate above, either party may:

You may opt out of the agreement to arbitrate in Section 16.2 and the class action waiver in Section 16.3 by emailing legal@pledge4play.com within thirty (30) days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and the name, email address, and phone number associated with your account. Opting out of arbitration does not affect any other provision of these Terms.


17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide reasonable advance notice through the Platform, by email, or by other reasonable means. Continued use of the Platform after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to an update, you may close your account before the update takes effect.

Non-material updates, such as clarifications and typo fixes, may take effect on posting.


18. Miscellaneous

18.1 Entire agreement

These Terms, together with the Privacy Policy and, where applicable, the Platform Fundraising Agreement, constitute the entire agreement between you and Pledge4Play regarding your use of the Platform and supersede any prior agreements between you and Pledge4Play on this subject.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

18.3 No waiver

Pledge4Play's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of substantially all assets, or by operation of law.

18.5 No agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Pledge4Play.

18.6 Force majeure

Pledge4Play is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, network outages, third-party service provider failures (including Stripe and Firebase), labor disputes, or government actions.
